Terms of Service

1. About Us

Agentic Builder is a service of Goddessai26 LLC, a New York limited liability company located at 1648 Amsterdam Avenue, Unit #105, New York, NY 10031.

We design, develop, and deploy AI-powered web applications for businesses. Our contact email is Goddessai2026@gmail.com.

2. Services

Agentic Builder provides custom AI web application development services, including but not limited to:

• Full-stack web application design and development
• AI feature integration (chatbots, automation, analytics)
• Deployment and hosting configuration
• Ongoing maintenance and retainer support
• SaaS platform builds for startups and enterprises

The specific scope of work, deliverables, timeline, and pricing for each project will be outlined in a separate Statement of Work or proposal agreed upon by both parties.

3. Payment Terms

Payment terms are as follows:

• All project fees are due as specified in your individual proposal or invoice
• Monthly retainer fees are billed in advance at the start of each billing cycle
• Payments are processed securely through Stripe
• Invoices not paid within 14 days may result in a pause of services
• All fees are non-refundable unless otherwise agreed in writing

Prices are in US dollars. We reserve the right to update our pricing with 30 days' written notice to existing clients.

4. Project Delivery & Revisions

Estimated timelines are provided in good faith and are subject to timely receipt of required materials, feedback, and approvals from the client. Delays caused by the client may result in adjusted delivery dates.

Each project tier includes a defined number of revision rounds. Revision requests beyond the agreed scope will be quoted and billed separately.

5. Intellectual Property

Upon receipt of full payment, you own the final deliverables created specifically for your project. Agentic Builder retains the right to:

• Showcase the work in our portfolio with your permission
• Retain and reuse general code patterns, frameworks, and methodologies
• Use third-party tools and libraries subject to their own licenses

We do not transfer ownership of any third-party APIs, platforms (e.g., Stripe, Anthropic), or software licenses integrated into your project. You are responsible for maintaining your own accounts and subscriptions with such providers.

6. Confidentiality

We treat all client information, business data, and project details as confidential. We will not disclose your proprietary information to third parties without your consent, except as required by law.

We may use anonymized or aggregated data to improve our services.

7. Client Responsibilities

To ensure a successful project, clients agree to:

• Provide accurate business information, assets, and content in a timely manner
• Designate a point of contact for approvals and feedback
• Respond to requests for review within agreed timeframes
• Maintain their own accounts for third-party platforms (hosting, payment processing, AI APIs)
• Use the delivered applications in compliance with applicable laws

8. Limitation of Liability

Agentic Builder and Goddessai26 LLC are not liable for any indirect, incidental, or consequential damages arising from the use of our services or delivered applications, including but not limited to loss of revenue, data, or business opportunities.

Our total liability in any matter related to these terms shall not exceed the total fees paid by you in the 90 days preceding the claim.

9. Termination

Either party may terminate a project engagement with 14 days' written notice. In the event of termination:

• Work completed up to the termination date will be invoiced and is payable
• Prepaid retainer fees for the current billing period are non-refundable
• All deliverables completed and paid for will be handed over to the client

10. Governing Law

These Terms are governed by the laws of the State of New York. Any disputes shall be resolved in the courts of New York County, New York.

11. Changes to These Terms

We reserve the right to update these Terms at any time. We will notify active clients of material changes via email. Continued use of our services after changes constitutes acceptance of the updated Terms.
